    Terms of Service

    Membership requirements, SMS consent, billing cadence, and the expectations that keep Prism running smoothly.

    PRINCIPLE TERMS

    This agreement commences upon the later of (i) your completion of the registration process and (ii) Prism Spaces' written or electronic confirmation of granting you access to the space, which access may be granted, withheld, suspended, or revoked in Prism Spaces' sole discretion (hereinafter, the "License to Use").

    You will be entitled to only those rights and privileges expressly made available for the Type of Membership chosen, subject at all times to this agreement, the applicable Rules of Conduct, and Prism Spaces' right to modify, suspend, or withdraw any such rights or privileges. Nothing contained herein shall be deemed to create a lease, tenancy, or other real property interest; this agreement grants only a personal, non-exclusive, revocable license to use the space.

    Users may not assign, transfer, sublicense, or otherwise permit the use of this agreement or the space by any other person or entity, whether within or outside of Prism Spaces, without Prism Spaces' prior written consent, which may be withheld in its sole discretion.

    SMS Terms & Conditions

    1- SMS Consent Communication:

    The phone numbers obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.

    2- Types of SMS Communications:

    If you have consented to receive text messages from Prism Spaces, you may receive messages related to the following:

    • Appointment reminders
    • Follow-up messages
    • Billing inquiries
    • Promotions or offers (if applicable)

    3- Message Frequency:

    Message frequency may vary depending on the type of communication you're using. For example, you may receive up to 2 SMS messages per week related to your appointments, billing, or other matters.

    4- Potential Fees for SMS Messaging:

    Please note that standard message and data rates may apply, depending on your carrier's pricing plan. These fees may vary if the message is sent domestically or internationally.

    5- Opt-In Method:

    You may opt in to receive SMS messages from Prism Spaces in the following ways:

    • By completing the joining of our Membership Portal
    • By submitting an inquiry form online
    • Contacting Prism Spaces via SMS

    6- Opt-Out Method:

    You can opt out of receiving SMS messages at any time. To do so, reply "STOP" to any SMS message you receive. Alternatively, you can contact us directly to request removal from our messaging list.

    7- Help:

    If you're experiencing any issues, you can reply with the keyword "HELP." Or, you can get help directly from us at hello@prismpartners.space.

    Additional Options:

    If you do not wish to receive SMS messages, you can choose not to check the SMS consent box on our forms.

    8- Standard Messaging Disclosures:

    • Message and data rates may apply.
    • You can opt out at any time by texting "STOP."

    FEES AND CHARGES

    The Registration Fee (if applicable) and the first month's pro-rated membership fees are collected from you by credit or debit card charge within 3-5 days of your membership acceptance date and are non-refundable. You are required to provide a valid credit or debit card to Prism Spaces from which all future membership fees and any corresponding late fees will be charged. Failure to provide such credit or debit card may result in a termination of your membership and/or License to use. If at any point your card on file is no longer valid or expired, you must provide Prism Spaces with an updated card within three (3) business days of Prism Spaces' notification to you of same.

    All additional membership fees, recurring products, and corresponding charges will be charged to your designated credit or debit card on the first day of the month following your initial registration date, and on the first day of each month thereafter, as set forth herein.

    Membership payments are nonrefundable.

    If any credit or debit card charge is not successfully honored within seven (7) days of the payment due date, a late fee equal to ten percent (10%) of the unpaid balance will be automatically assessed.

    You shall advise Prism Spaces immediately of any change to the Members' Details provided, including updating your credit or debit cards and corresponding billing addresses, as needed to ensure that all payments are timely processed.

    CANCELLATION

    Flex and Virtual Mail/Office Users:

    Memberships may be canceled at any time by providing written notice via email, provided you have paid the first month's fees and any related Registration Fees. Your cancellation will take effect at the end of the month in which notice is given and when the final payment has been made. Written notice must be provided a minimum of 72 hours prior to the beginning of the new month term.

    Upon the termination, suspension, or expiration of a Virtual Mail account, Prism Spaces has the right to securely destroy or "return to sender" any mail delivered to the former Virtual Mail account holder. Notwithstanding this right, Prism Spaces may, in its sole discretion, and as a courtesy only, forward mail received on behalf of the former customer for a period of up to thirty (30) calendar days from the account's deactivation date. Prism Spaces provides this forwarding service without obligation or guarantee of delivery.

    Prism Spaces shall not be held liable for any lost, delayed, misdirected, or undelivered mail after the Virtual Mail membership has been terminated for any reason. It is the customer's responsibility to update their mailing addresses with the United States Post Office and notify all senders of their address change prior to account closure.

    Members assigned a mailbox will be issued a corresponding key. The member shall be solely responsible for safeguarding such key. A replacement fee of Three Hundred Dollars ($300) will be assessed for any mailbox key that is lost, misplaced, or not returned at the end of the Virtual Mail membership.

    All membership and service payments, whether billed monthly or annually, are non-refundable. By enrolling in a plan, members expressly acknowledge and agree that Prism Spaces will not issue any refunds under any circumstances, including any early cancellation with or without cause, and regardless of which party terminates the membership.

    Resident Desk Users:

    Memberships may be canceled at any time by providing written notice via email, provided you have paid the first month's fees and any related Registration Fees. Your cancellation will take effect at the end of the month in which notice is given and when the final payment has been made. Written notice must be provided a minimum of fourteen (14) days prior to the beginning of the new month term.

    Office Users:

    Prism Spaces requires a minimum 6-month commitment for office membership rentals. In the event an Office user with a specific office license wishes to terminate their agreement, the user must notify Prism Spaces of their intent to terminate and in writing, via e-mail or otherwise. Such written notice must be given a minimum of Sixty (60) days prior to the proposed termination date. Your final charge will be prorated (if received after the 1st of the month), 60 calendar days after receipt of the termination notice.

    Prism Spaces also offer month-to-month office licenses with a $150 surcharge on monthly rent. Month-to-month office licenses require a 30-day notice of termination.

    If, upon vacating, your office is not returned in a clean and orderly condition with all personal property of the Customer removed, reasonable wear and tear excepted, and requires cleaning or repair, including but not limited to damage, staining, or soiling of carpets, walls, or any provided office furniture, a cleaning fee may be assessed. Such fee shall be a minimum of Three Hundred Dollars ($300.00), but may be more in the event of excessive damage.

    All:

    Prism Spaces charges a late fee of 10% of any outstanding amount which remains unpaid 7 days after the due date. Failure to make payment may result in your (and any of your team members') door code being subject to deactivation and your License to Occupy being revoked, effective immediately.

    Further, Prism Spaces retains the right to terminate your membership, effective immediately, should you breach any terms and conditions of this Agreement, or Rules of Conduct, as amended from time to time. No refunds will be issued if your membership is terminated for cause. Prism Spaces reserves the right to transfer any delinquent accounts to a collection agency if such accounts are not resolved within 30 days.

    GENERAL TERMS

    You agree to comply with the Rules of Membership contained herein, the Rules of Conduct and in building's Community Guidelines, which relate to opening hours, use of facilities, and your conduct. Prism Spaces may make reasonable changes to any such terms or Rules at any time, provided that notice is given in advance of the change.

    Any failure or delay by Prism Spaces to enforce any provision of this Agreement or any corresponding agreement, including but not limited to granting indulgences, extensions of time, or forbearance with respect to any breach, shall not be deemed a waiver of Prism Spaces' right to enforce such provision or any other provision strictly at any later time.

    To the fullest extent permitted under applicable Illinois law, in the event of any breach of this Agreement by a member, Prism Spaces shall be entitled to recover from the member all reasonable attorneys' fees, court costs, and other expenses incurred in enforcing this Agreement or exercising its rights and remedies hereunder.

    FACILITIES AND SERVICES

    To gain access to our facilities, you must provide your PIN information at all times.

    You must not share your unique PIN or permit anybody else to use it. Sharing PIN codes without express written authorization from Prism Spaces may result in a permanent ban from Prism Spaces Coworking spaces.

    You acknowledge that to provide the highest standards of facilities, each facility may need to close certain or all facilities temporarily for decorating, cleaning, essential repairs or maintenance of equipment and special events, which closure may disrupt the provision of services to you. You further acknowledge and agree that such disruption shall not amount to a breach of this agreement by Prism Spaces nor will any refund or adjusted payments be issued for any such days/events.

    LIMITATION OF LIABILITY

    Prism Spaces and its agents will not be liable to you for any failure or delay in performing any of the obligations under this agreement or for any loss or damage to property if the failure, delay, loss, or damage was due to any cause beyond the reasonable control of Prism Spaces.

    To the maximum extent permitted by applicable law, all warranties, conditions, and other terms implied by statute or common law are expressly excluded.

    You expressly agree that Prism Spaces will not be liable for any consequential loss that results from Prism Spaces' failure to comply with the terms of this agreement, or for any loss of income or revenue, loss of profit, loss of business, loss of anticipated savings, pure economic loss, or loss of data.

    FORCE MAJEURE

    For the purposes of this agreement, a Force Majeure Event means an event beyond the reasonable control of Prism Spaces Coworking including but not limited to strikes, lock-outs or other industrial disputes (whether involving Prism Spaces Coworking or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.

    Prism Spaces Coworking shall not be liable to you as a result of any delay or failure to perform its obligations under this agreement as a result of a Force Majeure Event.

    If the Force Majeure Event prevents Prism Spaces Coworking from providing any of the services for more than 90 days, Prism Spaces Coworking may, without limiting its other rights or remedies, have the right to terminate this agreement immediately by giving written notice to you.

    Miscellaneous Terms

    Prism Spaces' failure to enforce any of its rights at any time, for any period and for whatever reason will not be construed as a waiver of such rights; neither will any failure to identify or act upon any breach of the terms of this agreement be deemed to be an affirmation by Prism Spaces that your behavior is acceptable.

    Where a provision of this agreement is deemed to be invalid or unenforceable by any Illinois Cook County Court, it will be severed from the agreement and/or terms, and deleted. Such deletion will not affect the validity or enforceability of the remaining provisions.

    Except where permitted by this agreement, neither party may alter the terms and conditions without the written agreement of the other party, and no written or oral representation by either party will serve to modify or amend these terms and conditions in any way unless such written modification is agreed upon and signed by both parties.

    Any and all businesses engaged in criminal activity or behavior that violates local, state, and/or federal law are prohibited at all Prism Spaces locations. Any business or person(s) discovered to be engaging in illegal activities subsequent to joining Prism Spaces will be banned from all Prism Spaces spaces and network, and no refunds will be given for any memberships or services that are then paid. By signing up for a membership at Prism Spaces you are expressly warranting that you will not use the space to conduct any illegal operations or activities.

    This agreement shall be governed by Illinois law and the Illinois Cook County courts shall have exclusive jurisdiction to deal with any disputes arising in relation to it.

    SECURITY

    Members are responsible for their own belongings and equipment. If your membership type allows, secure your belongings and valuables in the lockable storage provided. All property left in Prism Spaces locations, including the lockable storage drawers, are entirely at your own risk.

    Prism Spaces will not be held responsible for any theft of or damage to your personal property.

    POLICY CHANGES

    If we change the Privacy Policy substantially, we will communicate such changes via email and on this website.

    CORRECTING/UPDATING PERSONAL INFORMATION

    If your personally identifiable information (such as your address, credit card number or other information) changes, or you no longer desire access to our website, please access your member account to correct, update or remove personal and other data you have provided by making the changes to your profile, or by e-mailing us with your request.

    RULES OF CONDUCT

    How We Show Up for Each Other

    Prism Spaces is more than a place to work. It is a shared community built on mutual respect, creative energy, and the belief that we are all better when we look out for one another. These Rules of Conduct exist to protect that culture and to set clear expectations for everyone who walks through our doors.

    These Rules of Conduct apply to all members, guests, visitors, and anyone who accesses or uses Prism Spaces.

    Prism Spaces reserves the right to update these Rules at any time. Members will be notified via email, and updates will be posted on our website. Continued use of the space after updates constitutes acceptance.

    1. Respect Is Non-Negotiable

    This is a professional, shared environment. Everyone here deserves to feel safe, welcome, and able to focus on their work. That starts with how we treat each other.

    What we expect

    Be kind. Be professional. Be considerate. Whether you are interacting with fellow members, Prism Spaces staff, guests, vendors, or building personnel, treat people the way you want to be treated. That is the baseline.

    What will not be tolerated

    The following behaviors are grounds for immediate termination of your membership and/or license to use, without warning and without refund:

    • Verbal abuse, intimidation, threats, or aggressive behavior toward any person on the premises. This includes raised voices, cursing, hostile language, and confrontational or demeaning behavior directed at staff, management, or fellow members.
    • Physical violence or any threat of physical harm.
    • Harassment of any kind, including conduct based on race, color, religion, sex, sexual orientation, gender identity, national origin, disability, or age.
    • Sexual harassment includes unwelcome advances, inappropriate comments, or any conduct of a sexual nature that creates a hostile or uncomfortable environment.
    • Bullying, stalking, or any pattern of behavior intended to intimidate, demean, or isolate another person.
    • Discriminatory language or behavior that creates a hostile environment for any member or guest.
    • Retaliation against anyone who reports a concern or participates in an investigation. We take reports seriously. You will not be punished for speaking up in good faith.
    • Disruptive behavior that interferes with the ability of others to work. This includes, but is not limited to, slamming doors, creating excessive noise in shared areas, and engaging in confrontational exchanges.

    Reporting a concern

    If you experience or witness conduct that violates these Rules, please report it to Prism Spaces management at hello@prismpartners.space or in person. All reports will be taken seriously and addressed promptly, ensuring a safe space for everyone.

    2. Take Care of the Space

    This is your workspace, but it is also everyone else's. Shared spaces only work when everyone does their part, creating a supportive environment for all.

    Kitchen and common areas

    Clean up after yourself. Wash or dispose of your dishes, wipe down counters, and throw away your trash. If you use the last of something (coffee, paper towels, creamer), replenish it or let management know. Food left in the fridge must be labeled with your name and date. Unlabeled or expired items will be tossed without notice.

    Coffee

    If you take the last cup, or there isn't enough for a full serving, make a new batch. Instructions are posted at the station. Leaving an empty pot for the next person is not a flex. It is inconsiderate, and it will be addressed if it becomes a pattern.

    Noise and focus

    This is a professional work environment. Keep noise levels reasonable in open and shared areas. Take phone calls and video meetings in private offices, phone booths, or booked meeting rooms. No speakerphone or playing audio without headphones in shared areas. Be mindful that people around you are trying to focus.

    Meeting rooms

    Book in advance through our booking system. End on time. Leave the room the way you found it: personal items removed, trash disposed of, whiteboard wiped clean.

    Dogs

    Prism Spaces is dog-friendly, and we love it that way. If you bring your dog, you are responsible for their behavior, supervision, and cleanliness at all times. Dogs must be non-aggressive, house-trained, and under your control. If your dog creates a disturbance, damages property, or poses a safety concern, Prism Spaces reserves the right to revoke pet privileges. You are liable for any damage caused by your pet.

    3. Guests and Visitors

    You are welcome to host guests at Prism Spaces. When you do, you are fully responsible for their behavior and their compliance with these Rules. A member must accompany guests and cannot access the space on their own unless they hold their own membership or have purchased a day pass. Prism Spaces reserves the right to limit or restrict guest access at any time.

    4. Security and Access

    Your door code and/or key are for your use only. Do not share them with anyone, including other members, without prior written authorization from Prism Spaces. Sharing your PIN without express written authorization may result in a permanent ban from all Prism Spaces locations.

    Do not prop open exterior doors or take any action that compromises the building's security. This puts everyone at risk.

    Prism Spaces reserves the right to deactivate door codes at any time, including in cases of policy violations, outstanding balances, or membership termination. Lost or unreturned keys are subject to replacement fees as outlined in your membership or lease agreement.

    5. Your Property, Our Property

    Treat the space and everything in it with care. Prism Spaces' furnishings, equipment, and facilities are here for everyone. If you or your guest damages any property, whether on purpose or through carelessness, you are financially responsible. We will assess repair or replacement costs and invoice you accordingly.

    Prism Spaces is not responsible for the loss, theft, or damage of your personal belongings or equipment. Secure your valuables in your private office or lockable storage. We strongly encourage members to carry appropriate insurance for personal and business equipment.

    6. What Is Not Allowed

    The following are prohibited on Prism Spaces' premises:

    • Illegal substances or any illegal activity. Any business or person discovered to be engaging in criminal activity will be permanently banned from all Prism Spaces locations, with no refund.
    • Weapons of any kind.
    • Smoking, vaping, or use of tobacco products indoors.
    • Using the space for residential or overnight purposes.
    • Any activity that creates a safety hazard or increases Prism Spaces' insurance liability.

    Violations of this section may result in immediate termination without notice or refund.

    7. Financial Obligations

    Detailed payment terms, fees, cancellation policies, and financial obligations are outlined in your membership agreement, lease agreement, and/or the Prism Spaces Terms and Conditions available on our website. By using Prism Spaces, you agree to comply with all applicable financial terms.

    A few things worth stating plainly:

    • Pay on time. Chronic late payment is a breach of your agreement and may result in termination.
    • Keep a valid card on file. If your card is declined, you must provide an updated card within three (3) business days of notification.
    • Do not file bad-faith chargebacks. Filing a fraudulent or bad-faith chargeback for charges that are legitimately owed under your agreement is a material breach. It may result in immediate termination and the pursuit of all available legal remedies, including recovery of the disputed amount, associated fees, and legal costs.

    For specific fee amounts, late payment policies, and cancellation timelines, refer to your membership or lease agreement and the Terms and Conditions.

    8. What Happens When Rules Are Broken

    Prism Spaces management has sole discretion in interpreting and enforcing these Rules. Depending on the severity of the situation, we may respond with a conversation, a written warning, a temporary suspension of access, or immediate and permanent termination of your membership and/or license to use. We do not take these actions lightly, but we will always prioritize the safety and well-being of our community.

    Immediate termination

    Prism Spaces reserves the right to terminate any membership or license with immediate effect, without prior warning, for conduct that in our sole judgment constitutes a serious violation. This includes, but is not limited to: violence or threats of violence, verbal abuse or aggressive behavior toward staff or members, harassment or discrimination, fraudulent chargebacks, illegal activity, or any conduct that puts the health, safety, or well-being of anyone in our space at risk.

    After termination

    If your membership is terminated for violating these Rules, your access will be revoked immediately. You must vacate and remove all personal belongings within the timeframe specified in your termination notice. Personal property left beyond the removal period may be considered abandoned and disposed of at Prism Spaces' discretion, in accordance with applicable law.

    Termination for cause does not relieve you of any outstanding financial obligations, and no refunds will be issued for prepaid dues, deposits, or other charges. Prism Spaces reserves the right to transfer delinquent accounts to a collection agency and to pursue all available legal remedies, including recovery of attorneys' fees and court costs.

    9. Indemnification

    You agree to indemnify, defend, and hold harmless Prism Spaces, its owners, partners, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the facilities, any breach of these Rules, or any act or omission by you or your guests.

    10. Acknowledgment

    By signing a membership agreement, lease agreement, or by accessing and using Prism Spaces, you acknowledge that you have read, understand, and agree to these Rules of Conduct. These Rules are incorporated by reference into all Prism Spaces agreements and are subject to change. Continued use of the space following any updates constitutes your acceptance.
